1. Acceptance & Master Agreement
These Enterprise Terms of Service ("Terms") constitute a legally binding agreement between Farmora Agrisystems Technologies Nigeria Limited ("Farmora") and the commercial farm entity, cooperative, or agribusiness ("Customer") identified in an executed Order Form or Enterprise Provisioning Request. By accessing the Farmora platform, spatial APIs, or telemetry connectors, Customer agrees to be bound by these Terms.
2. Acreage Licensing & Workspaces
Farmora licenses access to its platform based on contracted arable acreage or hectare blocks under active monitoring. Customer may register field boundaries, assign estate managers, agronomists, and scout operators up to the user tier designated in their active enterprise plan.
Agribusinesses operating multi-crop rotation cycles (e.g., wet season maize transitioning into dry season irrigated vegetables) may reallocate contracted hectare quotas between geographic sectors twice per calendar year without penalty.
3. Machine & Drone Connectivity
Customer is solely responsible for maintaining legitimate software licenses and physical access rights to any connected farm equipment (including John Deere Operations Center, DJI Agras drone fleets, Trimble Ag, and IoT soil probe telemetry). Farmora provides standardized ISO-XML and Shapefile (.SHP) variable-rate prescriptions formatted according to international agricultural electronics standards.
4. AI Decision-Support Guidance
Farmora’s spectral analytics, fungal disease detection, and soil moisture anomaly models are sophisticated decision-support instruments designed to assist certified agronomists and estate directors. While Farmora strives for maximum mathematical and remote-sensing accuracy, final decisions regarding chemical application volumes, irrigation pump schedules, and harvest decisions remain under the professional direction of Customer's authorized agronomic personnel.
5. Service Level Agreement (SLA) & Season Support
Farmora commits to a 99.9% uptime availability for its spatial query API and console ingestion engine during active regional growing seasons. In the event of emergency pest or disease outbreaks requiring urgent prescription generation, Farmora's Lagos-based agronomic engineering operations team provides priority 2-hour response times for enterprise tier customers.
6. Trade Secrets & Commercial Yield Data
Farmora recognizes that crop yield forecasts, harvested tonnages, outgrower payment registers, and parcel spatial boundaries are highly sensitive commercial trade secrets. Farmora maintains strict non-disclosure obligations, and under no circumstances will Farmora disclose Customer's yield figures to third-party grain traders, commodity exchanges, or financial institutions without explicit written authorization.
7. Nigerian Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding commercial arbitration administered by the Lagos Court of Arbitration (LCA) in Lagos, Nigeria, in accordance with the LCA Arbitration Rules.
